And the Client, legal entity subscribing to the Signalements Sites services (signalements.eu, signalements.org, signalement.eu).

Article 2 - Services Offered

CAZALLIS-SI markets subscriptions to the Signalements Sites: signalements.eu (showcase site), signalements.org (technical platform and administration), signalement.eu (whistleblower portal). Services include:

• INITIAL Plan: Reporting platform (email & web form), compliance with Law 2022 & GDPR
• ESSENTIAL Plan: All INITIAL features + management by External Referent
• ADVANCED Plan: All ESSENTIAL features + phone reception + annual reports

Article 3 - Prices

Prices displayed are exclusive of VAT. Current rates:
- INITIAL: €49 excl. VAT/month
- ESSENTIAL: €199 excl. VAT/month
- ADVANCED: €599 excl. VAT/month

CAZALLIS-SI reserves the right to modify its prices at any time. Subscribed services remain at the price in effect at the time of subscription until the next renewal.

Article 4 - Free Trial

A free trial period of one month may be offered. No credit card or payment commitment is required to benefit from this trial. At the end of the trial period, if the Client does not subscribe, access to services is automatically suspended.

Article 5 - Payment Terms

Payment is made monthly or annually in advance, by credit card or direct debit. In case of late payment, CAZALLIS-SI reserves the right to suspend access to services until full regularization.

Article 6 - Duration and Renewal

Subscriptions are taken out for an indefinite period. They are automatically renewed each month (or year for annual subscriptions) unless terminated by either party.

Article 7 - Termination

Each party may terminate the subscription at any time, subject to one (1) month's notice before the next renewal date. Termination must be made in writing (email or registered letter). No refund will be made for periods already paid.

Article 8 - Right of Withdrawal

As these are services provided to professionals, the legal right of withdrawal applicable to consumers does not apply. The Client definitively waives this right upon subscription.

Article 9 - Hosting

Data is hosted by Hetzner Online GmbH, Industriestr. 25, 91710 Gunzenhausen, Germany. Servers are located in Germany and Finland (European Union), ensuring GDPR compliance.

Article 10 - Liability

CAZALLIS-SI undertakes to make its best efforts to ensure Platform availability and data security. CAZALLIS-SI may not be held liable for indirect damage, loss of profits, or consequences resulting from the Client's interpretation and use of transmitted information.

Article 11 - Personal Data

Data collected as part of the commercial relationship is processed in accordance with GDPR. The Client has rights of access, rectification, erasure, and portability by contacting dpo@signalements.eu.

Article 12 - Applicable Law and Jurisdiction

These General Terms of Sale are governed by French law. In the event of a dispute, and after failure of any amicable attempt, the Bordeaux courts shall have sole jurisdiction.
